These Terms of Service (the “Terms”) govern your access to and use of digidocs.app and related services (collectively, the “Service”) operated by DigiDocs Technologies LLC, doing business as “DigiDocs” (“we”, “us”, “our”). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not use the Service.
Read carefully. These Terms include important provisions, including limitations of our liability (Section 10), your obligation to indemnify us (Section 11), the governing law and venue of any dispute (Sections 15 and 16), a waiver of class actions (Section 16.3), and a one-year time limit for claims (Section 16.4). DigiDocs Technologies LLCis a software tool; it is not a substitute for qualified personnel, professional judgment, or regulatory review — see Section 9.
1. Acceptance of Terms
By accessing or using the Service you represent that:
- You are at least 18 years of age.
- You have the legal capacity to enter into these Terms.
- If you are using the Service on behalf of a company or other legal entity, you have the authority to bind that entity to these Terms, and “you” in these Terms refers to that entity.
- You will comply with these Terms and all applicable laws.
2. Description of Service
DigiDocs Technologies LLC is a software-as-a-service platform that provides digital tools for equipment inspections (daily, monthly, annual), lift planning, job safety analyses (JSAs), bills of lading, deficiency tracking, repair logging, compliance reporting, and related business records for construction, trucking, and heavy-equipment industries. Features, pricing, usage limits, and availability may change over time. Nothing in these Terms obligates us to offer any specific feature or service level.
3. Account Registration and Security
3.1 Account Creation
You must provide accurate, current, and complete information during registration, and keep your account information up to date.
3.2 Account Security
You are responsible for safeguarding your password and for all activity that occurs under your account. You must notify us immediately at support@digidocs.app if you suspect any unauthorized access.
3.3 One Person Per Account
Individual user accounts are intended for use by a single person. Sharing credentials is a violation of these Terms and of security best practices; we may suspend shared accounts without notice.
3.4 Company Accounts and Roles
When you register a company, the registering user becomes the Company Admin and has sole authority over billing, company-wide templates, modules, branches, and the assignment of other roles (Admin, Supervisor, Mechanic, Operator). The Company Admin role can be transferred through account settings; we are not responsible for disputes over the Company Admin role.
4. Subscription, Billing, and Refunds
4.1 Free Trial
New companies receive a 14-day free trial of the Professional plan. No credit card is required to start the trial. At the end of the trial, the account reverts to a limited state unless a paid subscription is purchased.
4.2 Subscription Plans
Paid subscriptions are billed monthly or annually depending on the plan you select. Current plans and prices are published at digidocs.app. All prices are stated in U.S. Dollars.
4.3 Automatic Renewal
Subscriptions renew automatically at the end of each billing period at the then-current rate unless canceled before the renewal date. You authorize us and our payment processor to charge your payment method on each renewal.
4.4 Payment Processing
Payments are processed by Stripe, Inc. By providing payment information, you authorize Stripe to charge your payment method. Stripe's terms and privacy policy apply to the handling of payment data. You are responsible for maintaining a valid payment method on file.
4.5 Price Changes
We may change prices for subscription plans. For existing customers, we will provide at least 30 days' notice of any price increase before it takes effect at your next renewal. Your continued use of the Service after a price change constitutes acceptance of the new price.
4.6 Cancellation
You may cancel your subscription at any time through your account settings or by contacting support@digidocs.app. Cancellation takes effect at the end of the current billing period; you retain access through that date.
4.7 Refunds
Subscription fees are non-refundable except where required by law. We do not provide refunds for unused time within a billing period, partial months, mid-period account closures, or downgrades. Annual plan fees are non-refundable once charged.
4.8 Failed Payments and Past-Due Accounts
If a payment fails, we will attempt to retry over several days. If we cannot successfully charge your payment method, your account may be downgraded, restricted, or suspended until payment is received. You remain responsible for all unpaid amounts, plus reasonable costs of collection and any applicable late fees.
4.9 Taxes
Fees are exclusive of any taxes, duties, or similar governmental assessments. You are responsible for all such taxes, excluding taxes based on our net income.
5. Acceptable Use
You agree NOT to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Upload, post, or transmit content that is illegal, infringing, defamatory, obscene, or otherwise harmful.
- Attempt to gain unauthorized access to the Service, other accounts, servers, or networks connected to the Service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, architecture, or internal workings of the Service.
- Circumvent, disable, or otherwise interfere with security-related features of the Service or features that enforce usage limits.
- Use automated means (bots, scrapers, crawlers) to access, copy, or collect data from the Service without our prior written permission.
- Share, sell, rent, lease, sublicense, or otherwise transfer your account credentials or access to the Service to any third party.
- Use the Service to build, train, improve, or compete with a similar product or service, or to benchmark against the Service for competitive purposes.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Interfere with, disrupt, or create an undue burden on the Service or networks connected to the Service.
- Transmit malware, viruses, worms, Trojan horses, or any other malicious or destructive code.
- Remove or alter any copyright, trademark, or other proprietary notice.
We may investigate and take appropriate legal action against anyone who, in our sole discretion, violates this section, including removing content, suspending or terminating the account, and reporting the violator to law enforcement.
6. Customer Data and Content
6.1 Ownership
You retain all right, title, and interest in and to the data, records, photos, digital signatures, inspection responses, deficiency notes, and other content that you or your users create or upload (collectively, “Customer Content”). We do not claim ownership of Customer Content.
6.2 License to Us
You grant DigiDocs Technologies LLC a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and process Customer Content solely for the purpose of providing, maintaining, improving, and supporting the Service and otherwise fulfilling our obligations to you under these Terms.
6.3 Your Responsibility for Content
You are solely responsible for Customer Content and for ensuring you have all necessary rights, permissions, and consents to upload, store, and process it through the Service. You represent that your Customer Content does not violate any third-party rights (including intellectual property, privacy, or publicity rights) and complies with all applicable laws.
6.4 Data Export
You may export Customer Content through the export tools in the Admin dashboard (CSV and PDF formats). Upon reasonable request, we will provide assistance with broader data export for up to 30 days after account termination.
6.5 Data Deletion on Termination
Following termination of your account, we will delete Customer Content from active systems within 30 days, except where retention is required by law, litigation hold, or legitimate business records (e.g., audit logs, tax records). Backups may contain Customer Content for up to 90 days thereafter.
6.6 Aggregated and De-identified Data
We may generate aggregated and de-identified data from Customer Content (“Aggregated Data”) that cannot reasonably be used to identify you or any individual. We may use Aggregated Data indefinitely for any lawful business purpose, including analytics, benchmarking, and service improvement.
7. Intellectual Property
7.1 Our IP
The Service, including all software, designs, text, graphics, logos, the “DigiDocs” name and mark, trademarks, service marks, trade dress, and all other material not constituting Customer Content (collectively, the “DigiDocs IP”), is and will remain the exclusive property of DigiDocs Technologies LLC and our licensors. All rights not expressly granted to you are reserved.
7.2 Limited License to You
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes during your subscription term.
7.3 Feedback
If you provide us with suggestions, ideas, bug reports, or feedback about the Service (“Feedback”), we may use it without obligation to you. You grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, modify, and incorporate Feedback into the Service and any of our products or services.
7.4 Copyright Claims (DMCA)
If you believe content on the Service infringes your copyright, send a notice containing the information required by 17 U.S.C. § 512(c)(3) to support@digidocs.app. We will respond to properly-filed DMCA notices in accordance with applicable law, including removing or disabling access to allegedly infringing content and terminating accounts of repeat infringers.
8. Third-Party Services
The Service integrates with third-party services (including but not limited to Stripe for payment processing, Google for authentication and reCAPTCHA, and Refgrow for affiliate referral tracking). These third parties have their own terms of service and privacy policies, which are independent of ours. We are not responsible for, and make no warranties regarding, third-party services. Your use of them is at your own risk and governed by their terms.
9. Disclaimers and No Warranties
9.1 Service Provided 'As Is'
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, RELIABILITY, OR CONTINUOUS AVAILABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL SUCH WARRANTIES.
9.2 Not a Substitute for Qualified Personnel
THE SERVICE IS A SOFTWARE TOOL TO HELP YOU MANAGE INSPECTION AND COMPLIANCE RECORDS. IT IS NOT A SUBSTITUTE FOR QUALIFIED PERSONNEL, PROFESSIONAL JUDGMENT, OR REGULATORY REVIEW. YOU ARE SOLELY RESPONSIBLE FOR:
- Ensuring that inspections are performed by qualified, competent personnel.
- Determining whether equipment is safe to operate or place in service.
- Complying with OSHA, FMCSA, DOT, state, local, and all other applicable safety, labor, environmental, transportation, and regulatory requirements.
- Maintaining required records in formats, detail, and durations required by applicable law, regardless of what the Service provides.
- Making operability determinations, red-tag decisions, out-of-service determinations, and return-to-service decisions for equipment.
- Verifying the accuracy of any data, template, regulation reference, or calculation produced by or contained in the Service before relying on it.
DIGIDOCS TECHNOLOGIES LLC DOES NOT CERTIFY EQUIPMENT, PERFORM INSPECTIONS, PROVIDE REGULATORY OR SAFETY ADVICE, GUARANTEE COMPLIANCE WITH ANY REGULATION, OR BEAR ANY RESPONSIBILITY FOR SAFETY OUTCOMES.
9.3 No Warranty of Availability
We do not guarantee that the Service will be uninterrupted, secure, error-free, or free from unauthorized access. We are not liable for failures of internet connectivity, cellular connectivity, device hardware, third-party services (including payment processors, email providers, and hosting providers), or force-majeure events.
9.4 Third-Party Services
We make no warranties regarding third-party services integrated with or accessible through the Service. Your use of those third-party services is governed by their terms.
10. Limitation of Liability
10.1 Cap on Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DIGIDOCS TECHNOLOGIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY AMOUNT IN EXCESS OF THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
10.2 No Indirect Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DIGIDOCS TECHNOLOGIES LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, WHETHER ARISING UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.3 Safety-Related Damages
WITHOUT LIMITING THE FOREGOING, DIGIDOCS TECHNOLOGIES LLC WILL NOT BE LIABLE FOR ANY CLAIMS, LOSSES, OR DAMAGES ARISING FROM OR RELATED TO:
- Equipment failure, breakdown, malfunction, or defect.
- Personal injury, illness, property damage, environmental harm, or death.
- Regulatory violations, citations, fines, or enforcement actions.
- Inspection errors, omissions, or inaccuracies, whether performed using the Service or not.
- Compliance gaps, missing records, or failure of audit readiness, regardless of cause.
- Any decision, action, or inaction made in reliance on the Service or on any data or calculation produced by it.
10.4 Allocation of Risk
The limitations in this Section are a fundamental part of the bargain between the parties and reflect the allocation of risk given the fees paid for the Service. The limitations apply even if any limited remedy fails of its essential purpose.
10.5 Jurisdictions that Disallow Certain Limitations
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, the exclusions and limitations in Sections 9 and 10 will apply to the maximum extent permitted by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless DigiDocs Technologies LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, liabilities, damages, losses, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your Customer Content.
- Your or your users' access to or use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or third-party right.
- Any inspection, compliance determination, or safety decision made using or in reliance on the Service.
- Any dispute between you and another user of the Service, including your own employees.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with our defense.
12. Termination
12.1 Termination by You
You may terminate your account at any time by following the cancellation process in your account settings or by contacting us at support@digidocs.app. Termination is effective at the end of the current billing period.
12.2 Termination or Suspension by Us
We may suspend or terminate your account, in whole or in part, immediately and without prior notice if:
- You breach these Terms.
- You fail to pay any amount when due.
- We are required to do so by law or regulation.
- Your use of the Service creates a security, legal, or operational risk for us or for other users.
- We decide to stop offering the Service generally.
12.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. We will retain Customer Content for 30 days after termination to allow for export, after which it will be deleted according to Section 6.5. Any provisions of these Terms that by their nature should survive termination will survive, including Sections 6.1 (Ownership), 7 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 15 (Governing Law), 16 (Dispute Resolution), and 20 (Entire Agreement).
13. Service Modifications
We may modify, add, remove, suspend, or discontinue any part of the Service at any time, with or without notice. For material changes that reduce core functionality of a paid plan, we will provide at least 30 days' notice where practical. We will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service.
14. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of information as described in the Privacy Policy.
15. Governing Law
These Terms and any dispute arising out of or related to them or the Service are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. Dispute Resolution
16.1 Informal Resolution
Before filing any formal claim, you agree to contact us at support@digidocs.app to attempt to resolve the dispute informally. The parties will work together in good faith for 30 days before any formal proceedings.
16.2 Venue
Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Texas, United States, and you consent to the personal jurisdiction and venue of those courts.
16.3 Waiver of Class Actions
YOU AND DIGIDOCS TECHNOLOGIES LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE PARTIES EXPRESSLY WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION.
16.4 Time Limitation
Any claim arising out of or related to these Terms or the Service must be filed within one (1) year after the claim first arose. Claims filed after that period are permanently barred.
16.5 Injunctive Relief
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of its intellectual property, confidentiality, or proprietary rights.
17. Export Controls and Sanctions
You represent and warrant that you are not located in, and are not a national or resident of, any country subject to a United Statesgovernment embargo or designated as a “terrorist supporting” country, and that you are not on any United States government list of prohibited or restricted parties. You will not use the Service in violation of any United States export controls, sanctions, or embargo laws.
18. Force Majeure
Neither party will be liable for any failure or delay in performance (other than payment obligations) caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, civil unrest, labor disputes, governmental actions or orders, public-health emergencies, failures or unavailability of third-party services or infrastructure, internet outages, or telecommunications failures.
19. Notices
We may provide notices to you by email (to the address associated with your account), through the Service, or by posting to digidocs.app. You are responsible for keeping your email address current. You may provide notices to us at support@digidocs.app. Legal notices must be in English.
20. Entire Agreement
These Terms, together with the Privacy Policy and any order form, plan page, or additional terms you agree to during subscription, constitute the entire agreement between you and DigiDocs Technologies LLC with respect to the Service and supersede all prior or contemporaneous agreements, communications, and understandings, written or oral.
21. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.
22. No Waiver
Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision, and a waiver on any one occasion does not waive our right to enforce the same provision on any future occasion.
23. Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. Any attempted assignment without that consent is void. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets, subject to Section 4.4 of the Privacy Policy (Business Transfers).
24. No Partnership
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchisee relationship between you and DigiDocs Technologies LLC. Neither party has authority to bind the other or to act on the other's behalf except as expressly provided in these Terms.
